Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, products, and services (collectively, the "Services") provided by Renoir LLC, doing business as AICRO ("AICRO," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. Description of the Services

AICRO provides outbound marketing, demand-generation, scheduling, and related revenue-operations services to business clients. The Services may include integrations with third-party platforms, such as Google, that you choose to connect.

3. Accounts and Connected Integrations

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. When you connect a third-party account (for example, your Google account), you authorize AICRO to access and use that account's data solely as described in our Privacy Policy (https://www.aicro.co/privacy) and to the extent of the permissions you grant. You may revoke this access at any time.

4. Acceptable Use

You agree not to: (a) use the Services in violation of any applicable law or third-party policy, including the policies of integrated platforms such as Google; (b) attempt to gain unauthorized access to the Services or related systems; (c) interfere with or disrupt the integrity or performance of the Services; (d) reverse engineer or copy any part of the Services except as permitted by law; or (e) use the Services to transmit unlawful, infringing, or harmful content.

5. Third-Party Services

The Services rely on and interoperate with third-party platforms. Your use of those platforms is governed by their own terms and policies, and AICRO is not responsible for third-party services. Your use of Google services through AICRO is also subject to Google's applicable terms.

6. Intellectual Property

The Services, including all related software, content, and trademarks, are owned by AICRO or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Services in accordance with these Terms. You retain ownership of content and data you provide.

7. Fees

If you purchase paid Services, you agree to pay all applicable fees as described in your order or agreement with us. Unless otherwise stated, fees are non-refundable.

8. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

9. Limitation of Liability

To the maximum extent permitted by law, AICRO and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services. Our total liability for any claim relating to the Services will not exceed the amount you paid to us for the Services in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless AICRO and its affiliates from any claims, damages, liabilities, and expenses arising from your use of the Services or your violation of these Terms.

11. Termination

We may suspend or terminate your access to the Services at any time if you violate these Terms or if necessary to protect the Services or other users. You may stop using the Services at any time. Provisions that by their nature should survive termination will survive.

12. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles. Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming.

13. Changes to These Terms

We may update these Terms from time to time. We will post the revised version with an updated "Last updated" date. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
